We have been recently instructed to invite offers for the total assets of a company operating in the digital transformation and user adoption space. It licenses enterprise software through an e-learning platform and provides related services
The business is a UK limited company, which uses proprietary software owned by a related group business, under a licencing / royalty agreement. This arrangement will cease when the company enters into administration, which is expected to take place on or around 14th/15th September 2020. There is no opportunity to novate this agreement
As a result, the successful buyer of the assets of this business will be unable to service the existing clients with the same software. For sale is the customer list, the trading name (insofar as it can be sold), the goodwill, domain name/s, and physical IT equipment

The successful bidder will need to formalize their offer no later than Noon on Friday 11th September 2020 with a view to completion no later than Tuesday 15th September 2020, which will include transferring across approximately 8-10 employees
